1. Introduction & Acceptance

Welcome to PineBill. These Terms of Service ("Terms") govern your access to and use of PineBill's invoice management and PDF generation platform, including our website, API, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. Eligibility & Account Registration

2.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use PineBill. By creating an account, you represent and warrant that you meet these requirements.

2.2 Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate and current
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities under your account

2.3 Organization Accounts

If you create an organization account, you represent that you have the authority to bind that organization to these Terms. Organization owners are responsible for managing members and their access levels.

3. Subscription Plans & Payments

3.1 Available Plans

PineBill offers multiple subscription tiers:

  • Trial: Limited-time trial with restricted features
  • Pro: Full access to core features with usage limits
  • Enterprise: Advanced features with higher limits

Specific features, limits, and pricing for each plan are detailed on our pricing page and may change with notice.

3.2 Payment & Billing

  • Payments are processed securely through our payment partner, Polar.sh
  • Subscription fees are billed in advance on a recurring basis (monthly or annually)
  • You authorize us to charge your payment method for all applicable fees
  • All fees are non-refundable except as required by law or explicitly stated
  • Failure to pay may result in suspension or termination of your account

3.3 Cancellation & Refunds

  • You may cancel your subscription at any time from your account settings.
  • Cancellation takes effect at the end of your current billing period. You retain access until that date.
  • We do not provide refunds for:
    • Partial billing periods
    • Unused time on annual subscriptions
    • Subscriptions voluntarily changed to a different plan
  • Refunds may be issued at PineBill's sole discretion as a goodwill gesture. Such refunds do not establish precedent or entitlement to future refunds.
  • Chargebacks or payment disputes initiated without first contacting PineBill support may result in immediate account termination.
  • Refund requests must be submitted to support@pinebill.app within 7 days of the original transaction.

3.4 Usage Limits

Each plan includes specific usage limits for:

  • Number of invoices generated
  • API request rate limits
  • Storage capacity
  • Number of team members
  • Number of products, categories, and customers

Exceeding these limits may require an upgrade to a higher-tier plan.

3.5 Voluntary Plan Changes

When you voluntarily change your subscription plan:

  • Your previous subscription is immediately terminated and replaced by the new plan you selected.
  • Already used amounts from your previous plan will NOT be automatically credited or transferred to the new plan. Prepaid annual subscriptions that are voluntarily changed to a different plan forfeit the remaining prepaid period.
  • If you wish to return to a previous plan, you must purchase it at the current published rate. Previous promotional discounts, negotiated rates, or special offers do not carry over to new subscriptions.
  • PineBill is not responsible for restoring previous subscription terms after a user-initiated plan change.
  • All plan changes are logged and timestamped. Users accept responsibility for all subscription changes made from their authenticated account.

3.6 Promotional Discounts & Special Offers

  • Promotional discounts and negotiated rates are one-time offers valid only for the specific transaction in which they are applied.
  • Discount codes have expiration dates and usage limits. Once expired or used, they cannot be reapplied to future purchases.
  • If you cancel or change a subscription that was purchased with a promotional discount, you are not entitled to the same discount on future purchases.
  • PineBill reserves the right to offer, modify, or discontinue promotional offers at any time without notice.
  • Negotiated or custom pricing arrangements are not transferable between plans or subscription periods.

3.7 Payment Failures & Account Status

  • If a payment fails (due to bank decline, insufficient funds, expired card, or other reasons), your subscription status will automatically change to "Past Due."
  • During "Past Due" status, access to certain features may be restricted until payment is successfully processed.
  • Payment failures are determined by your bank or payment provider, not by PineBill. We cannot override or modify bank payment decisions.
  • You are responsible for ensuring your payment method is valid and has sufficient funds. PineBill is not liable for service interruptions caused by payment failures on your end.
  • "Past Due" status is automatic payment processor behavior, not a punitive action by PineBill.

4. User Responsibilities & Acceptable Use

4.1 Your Obligations

You are solely responsible for:

  • The accuracy of all data you input (invoices, customer information, products)
  • Compliance with applicable tax, accounting, and business regulations
  • Backing up your data and information
  • Ensuring your use of the Service complies with all applicable laws
  • All content uploaded to or generated through the Service

4.2 Prohibited Activities

You agree not to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Service to send spam or unsolicited communications
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service for fraudulent purposes or to create fraudulent invoices
  • Abuse or overload our API or infrastructure
  • Resell or redistribute the Service without authorization
  • Remove or obscure any proprietary notices

4.3 Account Activity & Audit Logs

  • PineBill maintains detailed logs of all account activity, including but not limited to: login events, subscription changes, plan upgrades or downgrades, payment transactions, and settings modifications.
  • These logs are timestamped and associated with your authenticated session.
  • In the event of a dispute, PineBill's audit logs shall be considered authoritative evidence of account activity.
  • By using the Service, you acknowledge that your actions are logged and may be referenced to resolve disputes or support inquiries.

5. Intellectual Property Rights

5.1 PineBill's Rights

The Service, including its original content, features, and functionality, is owned by PineBill and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our permission.

5.2 Your Content

You retain all rights to the content you upload or create using PineBill (invoices, customer data, documents). By using the Service, you grant us a limited license to:

  • Store, process, and display your content to provide the Service
  • Generate PDFs and other outputs based on your data
  • Make backups and ensure service availability

This license terminates when you delete your content or close your account, except for content stored in backups (deleted within 14 days).

6. API Usage Terms

6.1 API Access

If you use our API, you must:

  • Use valid API keys and keep them secure
  • Comply with rate limits (requests per minute/hour)
  • Properly handle errors and respect retry protocols
  • Not share or expose your API keys publicly
  • Monitor your API usage to stay within plan limits

6.2 API Rate Limits

Each API key has configurable rate limits based on your subscription plan. Exceeding rate limits may result in temporary throttling or blocked requests. We reserve the right to adjust rate limits to ensure service stability.

7. Service Availability & Modifications

7.1 Service Availability

While we strive for high availability, we do not guarantee that the Service will be available 100% of the time. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.

7.2 Modifications to Service

We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service
  • Change features, pricing, or usage limits with notice
  • Implement new features or remove existing ones
  • Update these Terms with notice to users

Material changes will be communicated via email or through the Service.

8. Termination

8.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account from account settings. You remain responsible for any fees incurred before termination.

8.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay applicable fees
  • Engage in fraudulent or illegal activities
  • Abuse the Service or harm other users
  • Remain inactive for an extended period

We will provide reasonable notice before termination unless immediate action is required for security or legal reasons.

8.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • Your data will be deleted according to our retention policy (typically within 14 days)
  • You may export your data before account deletion
  • Certain provisions of these Terms survive termination (liability limitations, dispute resolution)

9. Warranties & Disclaimers

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, or error-free
  • Generated invoices comply with all tax or legal requirements in your jurisdiction
  • Defects will be corrected within a specific timeframe
  • The Service is free from viruses or harmful components

9.3 Your Responsibility

You are responsible for ensuring that invoices and documents generated through PineBill comply with all applicable laws and regulations in your jurisdiction.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINEBILL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO PINEBILL IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless PineBill, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Any content you upload or generate using the Service
  • Your violation of applicable laws or regulations

12. Dispute Resolution

12.1 Informal Resolution

If you have a dispute with PineBill, please contact us at support@pinebill.com to attempt informal resolution before pursuing formal legal action.

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of your jurisdiction, without regard to conflict of law principles. You agree to submit to the jurisdiction of the courts in your location for resolution of disputes.

12.3 Dispute Evidence & Documentation

  • In any dispute regarding account activity, subscription changes, or payments, PineBill's server logs, analytics records, and payment processor records shall be considered primary evidence.
  • Users who dispute charges with their bank or payment provider without first attempting resolution through PineBill support (per Section 12.1) may have their account suspended pending investigation.
  • False claims or misrepresentation of facts in public reviews, chargebacks, or legal proceedings may result in account termination and pursuit of available legal remedies.

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or through a prominent notice on the Service. Continued use of the Service after such notification constitutes acceptance of the updated Terms.

The "Last Updated" date at the top of this page indicates when these Terms were last revised. We encourage you to review these Terms periodically.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PineBill regarding the Service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
